1.1 These Terms of Service, together with our Privacy Policy and Shipping & Returns Policy (together, the "Terms"), govern your access to and use of the website zeobeauty.ae (the "Site") and the purchase of products offered by BALUMA VENTURES F.Z.E, trading as "ZEO" ("ZEO," "we," "us," or "our"), a company licensed in the United Arab Emirates by the Free Zones Authority of Ajman under trade license and registration number 55541, with its registered address at Office B.C. 1308278, Ajman Free Zone C1 Building, Ajman Free Zone, Ajman, United Arab Emirates.

1.2 By accessing the Site, creating an account, or placing an order, you ("you," "customer," or "consumer") confirm that you accept these Terms in full. If you do not agree with these Terms, please do not use the Site.

1.3 ZEO reserves the right to amend these Terms at any time in accordance with Section 20 below. The version in force at the time you place an order will govern that order.

"Goods" or "Products" means the mineral skincare and cosmetics products offered for sale on the Site. "Order" means a request to purchase Products submitted through the Site. "Digital Contract" means the contract formed between you and ZEO upon our acceptance of your Order, as recognized under UAE Federal Decree-Law No. 14 of 2023 on Modern Technology Based Trade.

3.1 You must be at least 18 years old, or the age of majority in your jurisdiction, to place an Order. If you are under 18, you may only use the Site under the supervision of a parent or legal guardian who agrees to these Terms.

3.2 If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@zeobeauty.ae of any unauthorized use.

3.3 We may suspend or terminate accounts that provide false information, are used fraudulently, or breach these Terms.

4.1 We make reasonable efforts to display Products, colors, and descriptions accurately. Minor variations (e.g., due to screen display or natural batch variation in mineral formulations) may occur and do not constitute a defect.

4.2 All prices are displayed in UAE Dirhams (AED) and are inclusive of 5% UAE Value Added Tax (VAT). The final price shown to you before you confirm your Order will include applicable delivery charges, so there are no undisclosed fees at checkout, in line with UAE consumer protection requirements.

4.3 We reserve the right to correct pricing or listing errors at any time before an Order is accepted. If a pricing error is discovered after you have placed an Order, we will contact you to confirm whether you wish to proceed at the correct price or cancel with a full refund.

4.4 Product availability is not guaranteed until your Order is confirmed. If a Product becomes unavailable after you order it, we will notify you and offer a substitute, backorder, or full refund.

4.5 Each Product listing on the Site includes, where applicable: the name and address of the manufacturer/importer, country of origin, a bilingual (English/Arabic) statement of ingredients, production and expiry (or Period-After-Opening) dating, and usage warnings, in accordance with Cabinet Resolution No. 66 of 2023 (Executive Regulations of the UAE Consumer Protection Law).

4.6 Cosmetic claims: ZEO's product descriptions describe cosmetic effects only (e.g., hydrates, soothes, improves the appearance of skin) and do not make medical claims of preventing, curing, diagnosing, or treating any disease or condition, in accordance with UAE cosmetics labeling regulations. Nothing on the Site constitutes medical advice; consult a qualified professional for skin conditions requiring treatment.

5.1 Placing an Order is an offer to purchase, which we may accept or decline at our discretion (for example, in cases of suspected fraud, pricing errors, or stock unavailability).

5.2 A Digital Contract is formed only when we send you an order confirmation email/SMS. We will issue a detailed electronic invoice, including our Tax Registration Number (TRN), VAT amount, and total amount payable, for every completed Order.

5.3 We may cancel an Order at any stage prior to dispatch, in which case any payment already taken will be refunded in full.

6.1 We accept the payment methods displayed at checkout, which may include credit/debit cards, digital wallets, and Cash on Delivery ("COD") within the UAE, subject to a COD handling fee disclosed at checkout.

6.2 By submitting payment details, you confirm you are authorized to use the selected payment method. We use PCI-compliant, encrypted payment processing and never store full card details on our servers.

6.3 We are not liable for any charges, fees, or exchange-rate differences applied by your card issuer or bank.

7.1 Delivery fees, timelines, free-shipping thresholds, and areas served are set out in our Shipping & Returns Policy, which forms part of these Terms.

7.2 Risk in the Products passes to you upon delivery to the address provided in your Order. Title passes upon full payment.

7.3 If delivery is delayed to the point that the Products can no longer reasonably be used for their intended purpose, you are entitled to cancel the Order and receive a full refund, in accordance with Article 7 of Federal Decree-Law No. 14 of 2023.

8.1 Your rights to cancel, return, and receive a refund or exchange are set out in full in our Shipping & Returns Policy.

8.2 Nothing in these Terms limits your non-waivable statutory rights under UAE law to a return, replacement, repair, or refund where Products are defective, damaged, materially not as described, or delivered late such that they can no longer reasonably be used — these rights apply regardless of any general return window stated in our Shipping & Returns Policy.

8.3 We do not resell or re-list any Product that has been returned to us, in accordance with UAE consumer protection regulations.

9.1 Mineral skincare and cosmetic products may not be suitable for all skin types. We recommend performing a patch test before first use and discontinuing use if irritation occurs.

9.2 You are responsible for reviewing ingredient lists (provided in English and Arabic on each Product page) for known allergens or sensitivities before purchase and use.

9.3 Products are intended for their stated cosmetic purpose only and must be stored and used as instructed on the packaging and Product page.

10.1 All content on the Site — including the ZEO name, logo, product photography, graphics, text, and site design — is owned by or licensed to ZEO and/or the original European brand owner and is protected under UAE and international intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

10.2 Any feedback, reviews, or suggestions you submit may be used by us for marketing and product-development purposes, and you grant us a royalty-free, worldwide license to do so.

You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to our systems or interfere with the Site's operation; (c) submit false, misleading, defamatory, or infringing content (including reviews); (d) resell Products purchased from the Site without our written authorization; or (e) use automated tools to extract data from the Site (e.g., scraping) without permission.

12.1 You may submit product reviews and ratings. Reviews must be honest, based on genuine use, and must not contain offensive, misleading, or unlawful content.

12.2 We reserve the right to moderate, edit, or remove reviews that breach this Section or applicable UAE law.

We will only send you marketing communications (email, SMS, WhatsApp) if you have opted in at checkout, account creation, or by clicking "Notify Me" on the Site. Marketing emails are sent from hello@zeobeauty.ae. You may withdraw consent and unsubscribe at any time via the link in our emails, your account settings, or by emailing hello@zeobeauty.ae. Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference and is designed to comply with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.

15.1 To the fullest extent permitted by UAE law, ZEO's total liability arising out of or in connection with an Order is limited to the price paid for the relevant Products.

15.2 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under UAE law, including liability for fraud, gross negligence, personal injury or death caused by our negligence, or any right you have under the UAE Consumer Protection Law or the UAE Civil Code. This Section does not affect your statutory rights described in Section 8.2.

15.3 We are not liable for indirect, incidental, or consequential losses, or for delays or failures caused by events beyond our reasonable control (see Section 16).

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, customs delays, courier disruptions, government action, or supply-chain interruptions affecting our European manufacturing partners.

You agree to indemnify and hold ZEO harmless from any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Site, except to the extent caused by our own breach or negligence.

18.1 These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Ajman.

18.2 Any dispute arising out of or in connection with these Terms or your Order shall be subject to the exclusive jurisdiction of the competent courts of Ajman, United Arab Emirates, without prejudice to any mandatory consumer-protection venue or complaint mechanism available to you under UAE law (see Section 19).

18.3 Nothing in this Section affects any mandatory rights you have as a consumer under UAE Federal Law No. 15 of 2020 (Consumer Protection Law) or UAE Federal Decree-Law No. 14 of 2023 (Modern Technology Based Trade), which cannot be waived by contract.

19.1 If you have a complaint about an order, delivery, or a product issue, please contact us first at support@zeobeauty.ae so we can resolve it directly — we aim to acknowledge complaints within 2 business days. For general questions unrelated to an existing order, reach us at info@zeobeauty.ae.

19.2 If unresolved, you may escalate your complaint to the UAE Ministry of Economy's consumer protection department, the Free Zones Authority of Ajman, or pursue your claim before the competent courts of Ajman.

We may update these Terms from time to time to reflect changes in our business or UAE law. The updated Terms will be posted on the Site with a revised "Last updated" date and will apply prospectively to Orders placed after posting.

If any provision of these Terms is held invalid or unenforceable under UAE law, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and Shipping & Returns Policy and any order confirmation, constitute the entire agreement between you and ZEO regarding your use of the Site and purchase of Products.
